Asset Protection

The attorneys at Wendy Anderson, P.A. know how hard an individual must work to accumulate enough assets to provide for one’s retirement and still have possessions to leave to one’s heirs. Wealth preservation and asset protection as part of a comprehensive estate plan are goals with which the professionals at Wendy Anderson, P.A.  assist clients in a creative, efficient and affordable manner.

Title Insurance

You should not close on a house without having an attorney conduct a thorough title examination of the property to determine who really owns it. In real estate, “title” refers to the rights of ownership and possession of a particular property. Before title can be sold to someone else, it must be “marketable” – free and clear of liens or other title defects that would be unacceptable to a prudent, educated buyer in the reasonable course of business. Title insurance protects you against problems with the title that you didn’t know about when you bought the home. If a problem is discovered, your title insurer pays the costs to defend your ownership in court, to fix the problem, or covers your financial loss if the defects cannot be fixed. Wendy Anderson has been a title agent for over 33 years and is able to represent you in the purchase or sale of a home and the issuance of title insurance.

These are challenging times for real estate developers and investors. While real estate has always been cyclical, the current downtown is deeper and longer than most. Now more than ever, understanding the legal ramifications of real estate transactions is crucial. The silver lining of this challenging time is the opportunities that exist for those fortunate and savvy enough to be able to take advantage of them. Weeding through the possible opportunities and analyzing the legal situation requires an attorney with knowledge of the law and experience in seeing it applied. Sometimes a silk purse can be made out of a sow’s ear, even in a litigation context.

Wendy Anderson has practiced real estate law for 34 years and has assisted her clients in dealing with the full gamut of situations, from the best ways to deal with profits (1031 tax free exchanges) to a satisfactory resolution of crisis situations, such as the savings and loan crisis. Depending on the business entity you use, you need the appropriate formation and governance documents. Annual filings with the applicable authorities may be required as well, as well as annual maintenance of corporate records to comply with relevant statutes. Wendy Anderson, P.A. can assist you with entity formation and structure and provide the necessary documents, including Operating Agreements, Shareholders Agreements, Buy-Sell Agreements, Non-Compete Agreements and Employment Agreements. The agreements would be tailored to your specific industry and business strategy to help you accomplish your goals and achieve success.

Whether you are starting a new business or reorganizing an existing one, the entity you chose is very important. As hard as you work, you want to protect your business from liability and your personal assets from liability and creditor claims. The entity you chose can help protect your business and personal assets. Tax consequences should also be taken into account when choosing the vehicle in which you will conduct business. There are various entities from which to choose, including sole proprietorships, partnerships, C corporations, S corporations and limited liability companies, to name some of the choices. The amount of investors you have in your business and whether any of them are foreign nationals will also determine the choices available to you.

Wendy Anderson, P.A. will take the time to learn about your business and goals to help you decide the best form of business organization to utilize to grow your business and maximize your profits.

Consumer Bankruptcy

Consumers struggling to pay off their debts need a way to fix their situation. Bankruptcy is one way that consumers can face creditors and deal with their debts. Within the Bankruptcy Code there are several options. Filing Chapter 7 Bankruptcy can help many consumers eliminate their debts and stop creditor harassment through the liquidation of property. Chapter 7 still allows consumers to keep certain exempted assets, and is by far the most common form of bankruptcy filed in the United States. Consumers who want to keep their assets, receive protection from creditor harassment, and who receive sufficient income to pay all or part of their debts over a 3-5 year period can file Chapter 13 Bankruptcy. Chapter 13 allows consumers to receive protection from the bankruptcy court by working through a court-approved repayment plan. For consumers who cannot qualify for Chapter 13 and/or have assets they do not want to lose through Chapter 7, Chapter 11 Bankruptcy may be an option. Chapter 11 can be used to preserve a source of income that might be lost in liquidation, and can temporarily stop creditors from taking action while the debtor works out a reorganization plan. Getting the legal aid of an experienced bankruptcy attorney can help consumers with filing bankruptcy and understanding complex bankruptcy rules and forms. For expert legal counseling on Chapter 7, Chapter 11, and Chapter 13 bankruptcy, as well as any other questions you may have about working to fix your debt situation, contact Wendy Anderson, P.A. today.
